Agreement. EWG widgets are applications that you may place on your site to allow visitors to access web properties owned and operated by EWG. Use of any of EWG’s widgets is subject to the following terms and conditions:
EWG reserves the right to modify these terms and conditions of use without advance notice. This agreement constitutes a binding contract between EWG and you, the user. By using any of EWG’s widgets, you hereby accept this agreement in full. As a material condition of such use, you warrant that you are over the age of 18. Subject to your compliance with these terms and conditions, we hereby grant you a non-exclusive, non-transferable, non-sub-licensable, personal, revocable license to use and display any of our widgets on your site solely for your own personal, noncommercial use. You may not use EWG’s widgets for any other purpose without our prior written consent, and nothing in these terms and conditions shall be deemed to grant you any right, title, or interest in our widgets. In addition, you may not:
- Use any of EWG’s widgets to offer or promote, or otherwise in association with, any products or services for sale;
- Use any of EWG’s widgets (or any content displayed in connection with or through them) in any manner that may be construed as an endorsement by EWG of any product, service, entity, activity or brand that appears on your site;
- Place any of EWG’s widgets on any site that includes content that is offensive, harassing, threatening, abusive, discriminatory, vulgar, pornographic or otherwise inappropriate, as determined by EWG in its sole discretion;
- Use any of EWG’s widgets in any manner that prevents the end user of your site from linking directly to the applicable EWG web property.
EWG reserves the right to discontinue providing any of our widgets at any time without advanced notice. EWG further reserves the right to direct you to cease displaying or otherwise using any of EWG’s widgets, for any or no reason, and without liability to you or any third-party.
Fee-Shifting, Choice of Law. If you attempt to bring any legal action against EWG based in any way on its widgets, you agree that, in the event you do not prevail or EWG does prevail, you will reimburse EWG for any costs and attorneys’ fees associated with its defense of the action. The use of EWG’s widgets and any claim or dispute relating to EWG’s widgets shall be governed by the laws of the District of Columbia, without regard to its conflicts of law principles. Use of EWG’s widgets is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. If any provision or portion of these terms and conditions is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire agreement will be severable and will remain in effect, to the fullest degree consistent with the intent of this document.
